Compliance with Laws

Binding Arbitration

Procedure and Venue

Arbitration will be conducted in Cook County, Illinois, or by remote video conference, unless the parties agree otherwise. Either party may seek interim injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

Small Claims Court

Either party may bring an individual action in small claims court in Cook County, Illinois, if the claim qualifies.

Class and Representative Action Waiver

YOU AND THE OWNER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

Opt-Out

Your opt-out will not affect other provisions of these Terms.

Governing Law and Venue

These Terms and any Dispute are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. Subject to the arbitration agreement above, you agree to the exclusive jurisdiction and venue of the state and federal courts located in Cook County, Illinois.

Miscellaneous

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Failure to enforce any right or provision shall not constitute a waiver of that right or provision.

You may not assign or transfer these Terms, by operation of law or otherwise, without the Owner’s prior written consent. The Owner may assign these Terms without restriction.

These Terms constitute the entire agreement between you and the Owner regarding the Site and supersede all prior or contemporaneous understandings.
