Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of OnlinePharmacyMD.com (the "Site"), owned and operated by Harrison Thurston (the "Owner"). By accessing or using the Site, you agree to be bound by these Terms and all applicable laws and regulations in the United States of America. If you do not agree, do not use the Site.

Supplement and Regulatory Disclosures

Limitation of Liability

To the maximum extent permitted by law, the total liability of the Owner for any claim arising out of or relating to these Terms or the Site shall not exceed one hundred U.S. dollars (US$100) in the aggregate.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, the above limitations shall apply to the fullest extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless the Owner and the Owner’s affiliates, officers, agents, partners, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your access to or use of the Site or Content; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) your Feedback or other content you submit.

Compliance with Laws

You agree to comply with all applicable federal, state, and local laws, regulations, and ordinances in connection with your use of the Site, including those related to health information, consumer protection, and intellectual property.

International Users

Termination

Dispute Resolution; Arbitration Agreement; Class Action Waiver

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site (collectively, "Disputes") will be resolved exclusively by binding arbitration administered by a recognized arbitration provider under its applicable rules. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

Procedure and Venue

Arbitration will be conducted in Cook County, Illinois, or by remote video conference, unless the parties agree otherwise. Either party may seek interim injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

Small Claims Court

Either party may bring an individual action in small claims court in Cook County, Illinois, if the claim qualifies.

Class and Representative Action Waiver

YOU AND THE OWNER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

Opt-Out

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending a written notice with your name, address, and a clear statement that you wish to opt out of arbitration to: Harrison Thurston, 1703 Orrington Ave, Evanston, IL 60201, or via email to [email protected]. Your opt-out will not affect other provisions of these Terms.

Governing Law and Venue

These Terms and any Dispute are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. Subject to the arbitration agreement above, you agree to the exclusive jurisdiction and venue of the state and federal courts located in Cook County, Illinois.

Miscellaneous

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Failure to enforce any right or provision shall not constitute a waiver of that right or provision.

You may not assign or transfer these Terms, by operation of law or otherwise, without the Owner’s prior written consent. The Owner may assign these Terms without restriction.

These Terms constitute the entire agreement between you and the Owner regarding the Site and supersede all prior or contemporaneous understandings.
